Terms of Use
1. Service and Acceptance
These Terms govern access to Panda API, a developer platform operated by NEXUSAI SERVICES LLC that provides unified API access to selected text, image, and video artificial-intelligence models. By creating an account, purchasing balance, obtaining an API key, or using the service, you agree to these Terms. If you do not agree, do not use Panda API.
2. Eligibility and Accounts
You must be at least 18 years old, or the age of legal majority where you live, to create an account and purchase services. You must provide accurate information, protect your credentials and API keys, and remain responsible for activity under your account. Notify us promptly of unauthorized access or credential exposure.
3. Permitted Use
Panda API is intended for lawful software development, content creation, research, automation, and business workflows. You may use the API only as permitted by applicable law, model-provider restrictions, and documentation. You are responsible for evaluating outputs before relying on them and for maintaining backups of important content.
4. Prohibited Conduct and AI NCII
You must not use Panda API to create, request, distribute, or facilitate AI-generated non-consensual intimate imagery (AI NCII), sexual exploitation of minors, non-consensual sexualization, intimate deepfakes, or other unlawful intimate or exploitative content. You must have consent and legal authorization to use any person's image, voice, likeness, name, or private information.
You must also not use the service for unlawful discrimination, harassment, fraud, malware, credential theft, privacy violations, copyright or trademark infringement, circumvention of safety controls, or violation of model-provider terms. We may block requests, remove content, suspend accounts, preserve evidence, and report unlawful activity where appropriate.
5. User Content and License
You retain rights you hold in prompts, uploads, and other content you submit. You grant Panda API a limited license to host, transmit, process, and display that content only as needed to provide the service, maintain security, calculate billing, resolve disputes, and comply with law. You represent that you have all rights and permissions required to submit the content.
6. Generated Output
Generated outputs may be subject to model-provider terms, copyright, publicity, privacy, and other rights. Panda API does not guarantee that an output is unique, accurate, lawful, non-infringing, or suitable for a particular purpose. You are responsible for how you use and distribute generated content and for obtaining any necessary permissions.
7. API Keys and Security
API keys are confidential. You must not share keys publicly, embed server-side secrets in client applications, or use another person's account or key. You are responsible for requests made with your keys until you revoke them. We may rotate, restrict, or revoke credentials to protect the service.
8. Prices, Balance, and Charges
Panda API uses prepaid USD balance and usage-based pricing. Displayed prices follow the applicable model rates and may depend on tokens, images, seconds, resolution, audio, input media, or other usage dimensions. The amount ultimately charged for a generation is reconciled to the actual provider-settled amount where available. Failed requests are not intended to consume balance.
Payments are processed by Stripe. You authorize the stated charge when completing checkout. You are responsible for taxes that apply to your purchase. Balance has no cash value except where required by law and is not a bank deposit.
9. Refunds
Refund requests are governed by our Refund Policy and applicable law. Fraud, abuse, chargebacks, or violation of these Terms may result in suspension and denial of refunds to the extent permitted by law. Completed digital usage may be non-refundable.
10. Availability and Changes
Models, parameters, providers, prices, and features may change or be withdrawn. We may impose rate limits, maintenance windows, or capacity restrictions. We do not guarantee uninterrupted availability or that every model will remain supported.
11. Intellectual Property
Panda API's software, website, branding, documentation, and original materials are owned by or licensed to NEXUSAI SERVICES LLC. Third-party model names and trademarks belong to their respective owners. No trademark license is granted except as necessary to use the service.
12. Suspension and Termination
We may suspend or terminate access when reasonably necessary for security, legal compliance, non-payment, fraud, prohibited content, or violation of these Terms. You may stop using the service at any time. Provisions concerning payment, liability, intellectual property, and dispute resolution survive termination.
13. Disclaimers and Liability
The service is provided as available and without warranties except those that cannot be excluded by law. To the maximum extent permitted by law, NEXUSAI SERVICES LLC is not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, or harm arising from generated content. Our aggregate liability for a claim is limited to the greater of the amount you paid to Panda API during the six months before the claim or USD 100.
14. Indemnity and Governing Law
You agree to defend and indemnify Panda API and its operators against claims arising from your content, generated outputs, API use, violation of law, or breach of these Terms. These Terms are governed by the laws of Colorado, United States, without regard to conflict-of-law rules, except where local consumer law requires otherwise.
15. Changes and Contact
We may update these Terms by posting a revised version and effective date. Continued use after the effective date constitutes acceptance. For legal notices or support, contact:
